Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") govern your use of the Dwelt property management platform, websites, tenant and vendor portals, and related services (the "Service") provided by Dwelt ("Dwelt", "we", "us"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. The Service

Dwelt provides software for advertising rental listings and managing properties, units, leases, tenants, vendors, communications, payments, and accounting. We may add, change, or remove features over time.

3. Accounts

You must be at least 18 years old to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use. Organization owners and administrators control who has access to their organization's data within the Service.

4. Fees and Payments

If we offer paid plans or features, fees will be described at the time of purchase. Payment processing is provided by Stripe and subject to Stripe's terms. Rent and other payments made through the Service are transactions between the payer and the property manager or landlord; Dwelt is not a party to those transactions and is not a bank, money transmitter, or escrow agent.

5. Customer Content and Responsibilities

You retain ownership of the data you enter into the Service ("Customer Content"). You grant us the rights needed to host, process, and display Customer Content in order to provide the Service. You are responsible for the accuracy and lawfulness of Customer Content, including having a lawful basis to enter personal information about tenants, applicants, owners, and vendors, and for complying with laws that apply to your business — including landlord-tenant law, fair housing and anti-discrimination law, and communication consent requirements (such as consent to receive SMS messages).

6. AI Features

The Service includes AI-assisted features, such as our assistant Ellie, that can draft content, answer questions, and perform tasks you direct. AI output may be inaccurate or incomplete. It is provided for informational purposes only and is not legal, financial, tax, or other professional advice. You are responsible for reviewing AI output and for any actions you approve or ask the assistant to take.

Depending on the autonomy settings your organization configures, the assistant may take actions — including sending SMS and email messages to tenants, owners, vendors, and leads — without per-action review. Your organization is responsible for those settings and for communications the assistant sends on its behalf, including compliance with communication-consent requirements.

7. Acceptable Use

You agree not to misuse the Service. Among other things, you will not: use the Service to violate any law or the rights of others; send spam or unsolicited communications; upload malicious code; attempt to gain unauthorized access to the Service or to data of other organizations; probe, scan, or test the vulnerability of the Service without written permission; scrape the Service at scale; or resell the Service without our agreement.

8. Third-Party Services

The Service integrates with third-party providers (for example, payment processing, SMS and email delivery, and AI model providers). Your use of those features may be subject to the third party's terms, and we are not responsible for third-party services.

9. Intellectual Property

The Service, including its software, design, and branding, is owned by Dwelt and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

10. Termination

You may stop using the Service at any time, and organization owners may delete their organization through the Service. We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure for us, or if we discontinue the Service. Upon termination we will handle Customer Content in accordance with our Privacy Policy and applicable law.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the maximum extent permitted by law, Dwelt will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising out of or related to the Service. Our total liability for any claim arising out of these Terms or the Service will not exceed the amounts you paid to Dwelt for the Service in the twelve months before the claim arose (or one hundred U.S. dollars if you have paid nothing).

13. Indemnification

If you use the Service for business purposes, you will indemnify and hold harmless Dwelt from claims arising out of your Customer Content, your use of the Service, or your violation of these Terms or applicable law.

14. Changes to the Service or Terms

We may update these Terms from time to time. We will post the updated Terms here and revise the "Last updated" date, and for material changes we will provide additional notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the United States and the state in which Dwelt is established, without regard to conflict of law principles. Disputes will be resolved in the courts located in that state, unless applicable law requires otherwise.
